It's the issue following Betty's death.  It's set years into the future and Rick Jones is being interviewed by "Peter" (Parker?) of the Daily Bugle about the events after her death.

It was PAD's final issue.  He was forced off the title because he rejected turning the Hulk back into "Hulk smash!"  He used the issue to show where he would have gone with the character had he continued.
